Explanation of Responses:
(1) Received in exchange for 19 shares of Tremont Corporation common stock and
cash in lieu of a fractional share in connection with the merger of Tremont
Corporation with and into a wholly owned subsidiary of the issuer. On
February 6, 2003, the closing price of Tremont Corporation's common stock
and the closing price of the issuer's common stock was $27.98 and $8.14 per
share, respectively.
(2) The Reporting Person disclaims beneficial ownership of these shares.
